What is Misfeasance and Who Can Bring a Claim?

A director may be subject to a claim for misfeasance if they are suspected of misapplying, misappropriating, retaining or becoming accountable for money or other property of the company.

Claims will often arise when a company becomes insolvent or goes into liquidation. Evidence that a director breached their duties can result in the liquidator seeking to sue the director and other third parties to recover money owed to the company.

Under s.212 of the Insolvency Act 1986, the director can be ordered to compensate the company for the loss caused by the misfeasance. The individual may also be disqualified from acting as a director in the future.
